NTRD Terms of Use

These Terms of Use ("Terms") govern your access to and use of NTRD websites, applications, software, and services, including the NTRD Chart Analyzer (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. About NTRD and the Service
NTRD is a software automation and tool development company. We develop bespoke and SaaS tools that automate workflows and improve accuracy and certainty across engineering, finance, manufacturing, and related fields.
Publicly available tool:
- NTRD Chart Analyzer (currently the only publicly available product).
Upcoming tools (not yet publicly available):
- X-Suite (refrigeration design tool) and other future tools may be released under the NTRD brand.
These Terms apply to the Chart Analyzer and may apply to future NTRD tools when made available.
2. Eligibility and Age Requirements
You must be 18 years or older to create an account and use the Service. If you are under 18, you may only use the Service under the legal guidance and supervision of a parent or legal guardian, who must accept these Terms on your behalf and is responsible for your use.
You represent that:
- you are legally capable of entering into these Terms;
- you will use the Service in compliance with applicable laws; and
- if local laws restrict or prohibit trading tools, trading signals, or analysis services, you are permitted to access and use the Service and assume responsibility for compliance.
3. Accounts, Security, and Responsibility
3.1 Account Creation
You may be required to create an account to access the Service. You agree to provide accurate and complete information and to keep it updated.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login details and for all activity occurring under your account. If you believe your account has been compromised, contact support@ntrd.tech immediately.
3.3 Payment Method Misuse (e.g., unauthorized cards)
You are responsible for ensuring you are authorized to use any payment method used to purchase the Service. We are not responsible for unauthorized use of payment methods by third parties using your account credentials or devices.
4. Subscriptions, Billing, and Whop Payments
4.1 Plans and Pricing
We offer subscription access plans for the Chart Analyzer:
- Trial: USD $1.00 for 10 scans.
- Monthly: USD $19.99 for 600 scans per subscription month.
- Annual: USD $179.90 per year (effective USD $14.99/month, 25% savings).
4.2 Payment Processor
Payments are processed exclusively through Whop. Your purchase may also be governed by Whop’s terms and policies. If there is any conflict between Whop’s policies and these Terms, we will apply the approach required by law and/or Whop platform requirements for that transaction.
By completing checkout, you agree to the Refund Policy.
4.3 Renewal
Subscriptions renew automatically on the renewal date unless you cancel prior to renewal. You can cancel through the Whop billing portal or other method provided at checkout.
4.4 Cancellation
If you cancel, you will retain access until the end of your current paid subscription period. Your subscription will not renew after the period ends.
4.5 Failed or Missed Payments
If a payment fails or is missed, you may retain access to your account for up to 48 hours; scans will not renew unless and until payment succeeds.
5. Scans Policy (Chart Analyzer)
5.1 What Scans Are
A "scan" is a usage unit that allows a Chart Analyzer analysis request. Scans are included as part of your subscription and are hard-capped to protect system stability and prevent server overload.
5.2 Expiry and No Carry Over
Your 600 scans expire at your renewal date or subscription expiration date. There is no carry over of unused scans. You are paying for access to the specialized tool and platform capability, not for ownership of scan units as a standalone product.
5.3 Correct Upload Responsibility
The Chart Analyzer relies on the information present in the uploaded chart image. You are responsible for ensuring that uploads are clear and correct, including where applicable:
- timeframe indication,
- symbol or ticker indication,
- price visibility,
- indicator names and labels.
If you upload an incorrect or unclear chart and the Service produces an error or irrelevant output, you are not entitled to a refund or scan reversal on that basis.
5.4 Technical Failure Scan Review
If a scan fails due to a verifiable backend technical issue on our side, we may, at our discretion, reverse the scan after internal review. We may request evidence such as timestamps, screenshots of errors, or transaction references.
6. Refund Policy
6.1 General Rule: No Refunds
All sales are final. We do not offer refunds for subscription payments. By subscribing to NTRD Chart Analyzer, you acknowledge and agree that no refunds will be provided for any reason, including but not limited to early cancellation, dissatisfaction with the service, or failure to use the service during the subscription period.
6.2 Trial Rationale
The Service provides a low-cost trial option before recurring subscriptions. Because the trial is available for fit testing, all subsequent purchases remain final and non-refundable.
6.3 Chargebacks
If you initiate a chargeback or payment dispute, your account may be immediately suspended pending investigation and we may require settlement of any applicable administrative costs and non-recoverable processing fees to the extent permitted by law and platform rules.
7. Educational Use and Disclaimers
7.1 Educational Information Only
The Chart Analyzer provides educational and informational outputs intended to support human decision-making. It is human-augmented software and requires evaluation and oversight by you.
7.2 Not Financial Advice
NTRD does not provide financial, investment, legal, tax, or professional advice. Outputs are not a recommendation to buy, sell, or hold any instrument. You are solely responsible for your decisions and actions.
7.3 Risk Acknowledgement
Trading and financial decision-making involve significant risk. By using the Service, you acknowledge and accept that outcomes are uncertain, you may incur losses, and NTRD will not be liable for losses, damages, or missed opportunities arising from your reliance on the Service.
7.4 No Guarantee
We do not guarantee accuracy, completeness, or suitability of outputs, uninterrupted availability, or that the Service will meet your specific requirements.
8. Availability, Uptime, and Service Commitment
We aim to deliver a reliable user experience and will use commercially reasonable efforts to maintain service availability. However, the Service may be impacted by maintenance, upgrades, outages, third-party dependencies, or unforeseen events. We do not guarantee constant uptime, and you agree to verify outputs and not rely solely on the Service for decisions.
9. Acceptable Use Policy
You agree not to misuse the Service. You may not, and may not attempt to:
- scrape, crawl, or systematically extract data or outputs;
- reverse engineer, decompile, disassemble, or attempt to discover source code or underlying methods except where prohibited by law;
- share accounts, sell access, resell outputs, or provide analysis as a service to third parties without written permission;
- bypass scan limits, rate limits, paywalls, access controls, or security features;
- upload malicious code, attempt to probe or test vulnerability, or disrupt the Service;
- use the Service for unlawful, harmful, or abusive purposes.
Reselling: If you want to promote NTRD, you may do so via affiliate marketing where available. For reseller or affiliate inquiries, contact support@ntrd.tech.
10. Uploaded Content and Moderation
10.1 Your Content Ownership
Uploaded charts and images ("User Content") remain your property.
10.2 License to Operate the Service
You grant NTRD a limited, worldwide, non-exclusive license to host, process, and analyze your User Content solely to operate and provide the Service to you, investigate technical issues, enforce safety and policy compliance, and improve user experience and system features, including using metadata such as detected symbols and timeframes in aggregated or operational contexts.
We do not sell your User Content.
10.3 Explicit or Illegal Content: Zero-Tolerance Enforcement
Uploading explicit, abusive, exploitative, or illegal content is strictly prohibited. If such content is detected or flagged, your account may be temporarily banned while we investigate. If a violation is confirmed, your account may be permanently banned with no refund.
Where required or permitted by law, we may preserve evidence and report relevant information to authorities. We handle personal information in accordance with applicable data protection laws, including POPIA.
11. Intellectual Property
All NTRD software, systems, branding, designs, text, UI/UX, workflows, and outputs (excluding your User Content) are owned by NTRD or its licensors and are protected by intellectual property laws.
You receive a limited, revocable, non-transferable license to access and use the Service for your personal or internal business use, subject to these Terms. Any unauthorized use, copying, resale, or exploitation of NTRD intellectual property may result in suspension or termination and legal action.
12. Suspension and Termination
We may suspend or terminate your account with or without notice if you breach these Terms, we suspect fraud, abuse, chargeback misuse, or unauthorized access, you upload prohibited content, or your actions create legal, security, or operational risk.
Upon termination, access to the Service ends, scans may be forfeited, and refunds are not provided except where required by law.
13. Indemnity
You agree to indemnify and hold harmless NTRD, its directors, employees, contractors, and affiliates from any claims, damages, losses, liabilities, and expenses including legal fees arising out of your use of the Service, your User Content, your breach of these Terms, or your violation of any law or third-party rights.
14. Limitation of Liability
To the maximum extent permitted by law, NTRD will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities.
NTRD’s total liability for any claim arising from or relating to the Service will not exceed the total amount paid by you to NTRD via Whop in the one month immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
15. Dispute Resolution and Governing Law
15.1 Informal Resolution First
Before starting formal proceedings, you agree to contact support@ntrd.tech and provide your account email, purchase reference, and a clear description of the issue and desired resolution. We will attempt to resolve disputes in good faith within 14 days.
15.2 Arbitration or Courts
If not resolved, NTRD may elect, or you and NTRD may agree, to resolve the dispute by arbitration in Johannesburg under the rules of the Arbitration Foundation of Southern Africa. If arbitration is not elected, disputes will be subject to the courts of Gauteng, South Africa, and you consent to that jurisdiction.
15.3 Governing Law
These Terms are governed by the laws of the Republic of South Africa.
16. Privacy and Data Protection
Our collection and processing of personal information is described in our Privacy Policy, which forms part of these Terms. We process personal information in accordance with applicable data protection law, including POPIA.
17. Changes to These Terms
We may update these Terms from time to time. If changes are material, we may notify you via the Service or by email. Continued use after changes become effective means you accept the updated Terms.
